Place your layers like this in the timeline:
[ B&W Mask ] <--- turn off visiblity
[ FOOTAGE TO BE MASKED ]
Click on the 'switches / modes' button at the base of the timeline window. Now the window changes a little just above where you clicked, it should have:
[Normal][ ][none]
Click the 'none' button and assign a 'Luma matte' or 'Luma Inverted Matte'. It all depends on your mask layer. This basically uses the layer above as an alpha channel. The technique is know as a 'track matte'. Look it up in the AE help to understand it comprehensively.
