Not bad at all, really.
The only real crit I have is that his face is a bit out of proportion...his eyes should be in line with his ears (in the middle of his face).
For your basic rigging (etc) needs, try the tutorials that come with 3ds max...I found them very useful.
Keep up the good work

Hiya.
From the looks of it, are you trying to build a character with "real bones and nothin' but"? If you look at really good skeleton rigs, 9/10 you find "extra bones" floating around. These tend to be "muscle bones"; bones that have constraints set up to other bones that 'flex' the skin in the appropriate way.
For a "simple skeleton", maybe try re-weighting the vertecies in the problem areas to a different bone. For example, the "underarm" area of your charcter looks like they are weighted to the forearm bone(s). Try weighting them to one of the spine bones.
If you couldn't tell, i'm not an "expert boner" (...er...nevermind... ;) ). There are a lot of tutorials out there on the web regarding "character rigging". Hit the net and read up like hell. There are a lot of them, so plan to spend at least a day combing through them to save out the tasty little morsceles. :D
EDIT: DUH! :hmm: I just realised theres a whole "Character Rigging" forum on CGTalk! :) Enjoy! PS: CGTalk kicks ass. :buttrock:
