XSI creates ".rla & .zpic" when you choose .rla for output
how can i create single .rla (that includes Zdepth info) output file?

You can't.
When I did my tests I found that the RLA outputted (without the zpics) by XSI only contains the RGBA channels (unless I missed something, but I don't think so).
Also, someone told me the exact same thing, thus confirming what I was thinking.
Very annoying, I agree.
