Nose holes too separated.. they are close.. other then that if u are going for pro model with a ref pic in the viewport ;)

Overall proportions are pretty good, the face is a little flat, you might want to pull the base of the nose and surrounding area forward a bit or push the chin and cheeks in.
The tip of the nose could be rounder.
The eyes are a bit large for a realistic character, but you could use artistic licence to keep them that size to give the character more appeal. I'd move the eyeballs up a bit so that the bottom of the iris is just touching the lower lid.

This model is a good start, with a little more work you should have a very good head mesh.
One thing I like to do fairly early when when doing head test renders is to target the eyes at the camera, it helps to give a little "life" to the model and makes it less staring/doll like.

ok this is the bollocks... max froze my comp while rendering, and woops the .max file is corrupted... set me back all that tweaking...
really sucks... :(

That's definitely an improvement, the profile looks much better now, but I think it could still use a little work.
It's easier to draw than explain, please excuse my crude scribble, this is supposed to animate, hope it works...

That's a really good improvement. At this stage it might be worth going over the mesh and trying to optimise it, every polygon and vertex you can remove now will make modifications into other characters easier later on.
Maybe make a start on the ears as well to give you another point of reference .
