how do i get rid of the red dotted line with up messing up the top part and the sides???

If it's an editable poly, in Max4 select the edge and hit Delete, in Max5 select the edge and hit the "Remove" button in the EPoly rollout. If it's an editable mesh convert it to an Epoly and do one of the above.

how do i convert to edit poly?

Pick your object, right_click on it, and in the menu, go to Convert To, and pick Editable Poly .
