are they using the same SPM for server? or they use a different one.

Licensing is still the same SPM, your 2.0 license will not work with 3.0.

I was told by Softimage that it's a new SPM software, so the one you use for v2 is not supposed to work for v3.
I can be wrong, though.

Can anyone help?

When you upgrade from 2.02 to 3.0 do you have to stop the server before running the new installation?

You should stop the server off just to be safe... but you don't have to remove it.
