Thanks, this is driving me crazy, couldnt find and answer anywhere online.

Offline editing, as I understand it, is editing with a low resolution version of the footage. Online editing is when you're working with the full resolution footage.
I could be wrong though. I haven't had to think about that kind of stuff for years :)

Hi,
Off Line is your rough cut -- it's the raw footage most commonly with window dubbed time code burned on screen. It's what you use to get your rough edit put together. In the old days you would often work at less expensive studios and equipment in order to get your shots sorted out and your programme put together.
Once you had your EDL worked out (Edit Decision List) you could then go to an on-line suite and pay big $$$$ to put your master together from all the master footage.
To be clear, what you do is this...
Shoot your raw footage.
Make dubs (with time code) of the raw footage.
Put the raw footage away in a safe place.
Use the dubs to create your EDL
Once you know how your film will be edited, you take your EDL to the on-line suite and create your master from the raw footage -- including any expensive FX :-)
The idea was that you didn't mess with your raw footage till you were ready to cut it together.
Of course today things have changed a little bit -- but that was the idea.
