a bit tricky..

since that complete answer would take up several pages here some hints that might work (never tried so far):

to simplify letts assume the object is a plane for now:
you shader should have a ramp mapped to the transparency, specular and reflection values if used.
now you animate the ramp ( would use a planar projected one) that the object gets invisible over time.

to get the particles you let the surface emit the particles (which should happen at the time when the transparency is not 100%).
to have the particles emerge at the right position, you can use a ramp that is similar to the transparency ramp, but inverted (roughly).
to get the right color in the particles you go to the emitter and use the attributes at the very bottom in the AE. there you can specify that the particles that get emitted from the surface have the color of it (you might need to bake out the color and the transparency ramp, since that does not work with more complex shader networks).

have fun..

have a look in the attached file (maya 4.01).

the timing is a bit off and i would suggest you do the particles with hardware rendering and not blobby surfaces like i did.. i was just to lazy to start a comp..

here you can find the avi file in divx format..
note:
the timing would need some work as well as other parts.. just to show the idea.

dissolve with particles DIVX (http://home.arcor.de/alexander.bigott/dissolve_sphere.avi )

(hehe.. the divx compression makes some nice artefacts in there :)

hey alexx that fx is actually pretty cool  great!
but i think there is something wrong with your scene,
anyway you can make very kewl effects with that technic.
