It "Groups" both layers. In other words the upper layer that gets Grouped will only affect the bottom layer.
• Example: If you have Text written out in layer 1 and on layer 2 is a photo/texture and you Group them. The photo/texture will only show through what ever layer 1 is. It sort of acts as a mask.
• Example: If you use adjustment layers and only want the effects(curves, hue/saturation, levels, etc.) to only affect one layer and not the entire document you would group the adjustment layer on top of that layer you want affected.
Just play around with it and you'll see how helpfull they can be, specially when color correcting with adjustment layers, etc.
